In der Unternehmenspraxis stellt sich wiederholt die Frage, ob formbedürftige Rechtshandlungen deutscher Kapitalgesellschaften auch durch einen ausländischen Notar wirksam beurkundet werden können. Trotz höchstrichterlicher Entscheidungen herrscht darüber immer noch ein hohes Maß an Rechtsunsicherheit. Der Autor unterzieht die von dem 2. Zivilsenat des Bundesgerichtshofs aufgestellten Gleichwertigkeitskriterien einer umfassenden Analyse und zeigt das Erfordernis zusätzlicher Kriterien auf. Die Arbeit greift exemplarisch die Beurkundung durch die Urkundspersonen in vier Schweizer Kantonen heraus, welche Gegenstand zahlreicher Entscheidungen deutscher Gerichte gewesen sind. In rechtstatsächlicher Hinsicht werden die Motive für den ¿Beurkundungstourismus¿ im Lichte der Ergebnisse einer Befragungsstudie untersucht.

Der Autor befasst sich mit den im Insolvenzschrifttum behandelten Fallgruppen und nimmt Prüfungen insbesondere im Lichte des Verfassungsrechts vor. Dabei gelangt der Autor u.a. zur Feststellung, dass sich der Vorwurf des fehlenden Rechtsschutzinteresses nicht stets als zutreffend erweist, sodass aus der gerichtlichen Zurückweisung betroffener Insolvenzanträge oftmals faktische Rechtsschutzsperren resultieren.
