Dabei sind die Grenzen der Delegationsmöglichkeit sowie die dogmatische Grundlage des aktienrechtlichen Delegationsverbots mangels gesetzlicher Regelung nicht abschließend geklärt. In jüngerer Zeit werden die hierzu bestehenden Grundsätze vermehrt kritisiert. Der Autor liefert im ersten Teil der Publikation zu diesen Fragen einen eigenen Ansatz mithilfe allgemeiner Prinzipien des Auftragsrechts. Dies gelingt unter Abkehr der Verknüpfung der Delegationsfrage mit der Dichotomie von Leitungs- und Geschäftsführungsaufgaben. Schließlich wird das Ergebnis der Untersuchung auf die Kernaufgaben des Vorstandsmandats angewendet. Gegenstand des zweiten Teils sind die Anforderungen an eine ordnungsgemäße Delegation und in diesem Zusammenhang auftretende Fragen der gesamtschuldnerischen Haftung.

In der wissenschaftlichen Untersuchung werden diese Leitungsstrukturen erfasst und erläutert sowie mögliche Spannungen aufgezeigt. Die Untersuchungsergebnisse werden mit den Regelungen einer Muster-Grundlagenvereinbarung aus der Praxis verglichen. Vorangestellt wird eine umfassende rechtsdogmatische Betrachtung der Grundlagenvereinbarung im russischen Recht, u.a. hinsichtlich Rechtsnatur, Vertragstyp und zulässigem Regelungsinhalt vorgenommen.
